3. Client Responsibilities

• Project Information:

  Clients must provide clear and accurate project requirements, references, and any other relevant details necessary to initiate work.

• Ownership & Rights:

  Clients must ensure that all footage, materials, and assets shared with Frame Founder Studio are owned by them or properly licensed and do not infringe upon any third-party copyrights or intellectual property rights.

• Communication & Approvals:

  Clients are responsible for timely feedback, communication, and approvals to help maintain agreed delivery schedules.

4. Payment Terms

• Agreement on Milestones:

  All payment milestones, including advance and final payments, will be mutually agreed upon before the project begins.

• Accepted Payment Methods:

  Payments must be made only through approved channels — such as Bank Transfer and PayPal online payment methods.

• Delivery Policy:

  Final work files and project deliverables will be released only after full payment clearance as per the agreed milestones.

• Taxes & Charges:

  Any applicable taxes, transaction fees, or currency conversion charges shall be borne by the client.

5. Intellectual Property

• Ownership of Final Deliverables:

  All final deliverables created by Frame Founder Studio become the exclusive property of the client once full and final payment has been received.

• Portfolio Usage:

  Frame Founder Studio may showcase completed work in its portfolio, showreel, or promotional materials only with prior written consent from the client.

• Source & Working Files:

  All raw files, project files, and intermediate working versions remain the intellectual property of Frame Founder Studio, unless otherwise specified and agreed in writing before the start of the project.

6. Confidentiality

• Data Protection:

  All client data, footage, project files, and creative assets shared with Frame Founder Studio are treated as strictly confidential and handled with the highest level of security and discretion.

• Non-Disclosure:

  Frame Founder Studio will not share, disclose, distribute, or reuse any client materials, project information, or content without prior written consent from the client.

• Authorised Access:

  Only authorised team members directly involved in the project and bound by internal confidentiality agreements will have access to client files.

7. Termination

• Right to Terminate:

  Either party may terminate the project at any time by providing written notice to the other party.

• Payment for Work Completed:

  Any work completed up to the point of termination must be paid in full according to the agreed milestones or rates, regardless of project discontinuation.

• Return of Materials:

  Upon completion, both parties shall return or securely delete any proprietary materials, assets, or confidential information belonging to the other party, unless otherwise agreed in writing.

8. Liability

• Professional Standards:

  Frame Founder Studio commits to delivering all services with professional standards, skill, and care in accordance with the agreed project scope.

• Limitation of Liability:

  Frame Founder Studio shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, or business opportunities arising from the use of services or deliverables.

• Direct Liability:

  The studio’s direct liability, if any, shall be limited to the fees paid by the client for the specific project or service in question.

9. Governing Law and Jurisdiction

• Applicable Law:

  These Terms & Conditions and any projects undertaken by Frame Founder Studio shall be governed by and construed in accordance with the laws of India.

• Jurisdiction:

  Any disputes, claims, or disagreements arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal, India.
